Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the SolidMaint property maintenance platform ("Service") operated by Pataluha Ventures S.L. ("Company"), NIF B26627539, registered in Spain. SolidMaint S.L. (NIF B27612159, registered office c/o The Pool, Avda. Bulevar Príncipe Alfonso de Hohenlohe 2, 29602 Marbella, Málaga, Spain) is a subsidiary of Pataluha Ventures S.L., registered on 7 May 2026. Until the platform is transferred to SolidMaint S.L., Pataluha Ventures S.L. remains the operator of the Service. By creating an account or using the Service, you agree to these Terms.
2. Definitions
- "Customer" — A property owner who books maintenance services through the platform.
- "Crew" / "Worker" — An independent maintenance contractor who performs services through the platform.
- "HQ" — The Company's back-office operations team.
- "Task" — A specific maintenance job requested and tracked through the platform.
- "Property" — A real estate property registered on the platform by a Customer.
3. Account Registration
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the security of your account credentials.
- You must be at least 18 years old to use the Service.
- One person may maintain only one account per role.
4. Services and Pricing
4.1 On-Demand Services
- A base fee of €50 (+ 21% IVA) applies to all on-demand service calls.
- The base fee is charged at booking and is non-refundable once a Crew member is dispatched.
- Final settlement is calculated after task completion based on time, materials, and agreed rates.
- Customers have 48 hours to review and approve completed work; after which auto-approval applies.
4.2 Subscription Plans
- Subscriptions are billed monthly via SEPA Direct Debit.
- Cancellation takes effect at the end of the next billing period.
- Service scope is defined in the subscription agreement at time of activation.
4.3 Customer Payment
- Primary payment method: SEPA Direct Debit.
- Fallback: credit / debit card if SEPA fails.
- All prices include 21% IVA unless stated otherwise.
- Failed payments are retried up to 3 times over 7 days.
4.4 Crew Payouts (Stripe Connect)
- Crew members receive payouts through Stripe Connect Express.
- Crew complete Stripe's KYC onboarding (identity verification, bank-account details, tax identification number) directly with Stripe at the start of the relationship.
- The Company is not a payment-services provider. Payouts are governed by the Stripe Connected Account Agreement, which the Crew member accepts during Stripe onboarding. The Company facilitates instructions to Stripe and provides task and earnings data; Stripe controls the payout itself.
4.5 Material Costs and Receipt Visibility
- Crew members purchase materials in the course of performing services and submit receipts to the Company for accounting purposes.
- Customers see the agreed price for materials at quote and approval. Customers do not see the underlying supplier-side receipts. This is by design: it protects the agreed pricing model.
- If a Customer disputes a material charge, they can request itemisation through HQ; we will provide an audit-level summary without disclosing supplier-confidential pricing.
5. Customer Obligations
- Provide accurate property information and access details.
- Ensure safe working conditions at the property.
- Review completed work within 48 hours of notification.
- Report disputes within 7 days of task completion.
- Maintain a valid payment method on file.
6. Crew Obligations
- Perform work to professional standards.
- Document work with before / during / after photos (minimum 2 photos per task).
- Accurately track working time using the platform timer.
- Remain within the property geofence during active work.
- Report issues or safety concerns promptly through the platform.
- Warrant that they carry valid third-party liability insurance (Responsabilidad Civil Profesional) appropriate to the services they perform, and provide proof to HQ on request.
7. Dispute Resolution
- Disputes must be submitted through the platform with a written reason.
- HQ will mediate disputes and may request evidence from both parties.
- Resolutions include: approval of work, revision request, or partial / full refund.
- HQ aims to resolve disputes within 5 business days.
8. Intellectual Property and User Content
- The SolidMaint platform — software, design, and branding — is owned by Pataluha Ventures S.L. (and will be assigned to SolidMaint S.L. on incorporation).
- Photos, voice recordings, documents, and other content uploaded by users remain the property of the respective users. By uploading, you grant the Company a non-exclusive, worldwide, royalty-free licence to:
- Store and display the content within the platform context (service delivery, audit, dispute resolution).
- Process the content via AI pipelines (photo recognition, voice transcription, OCR, agent assistance, chat translation) where doing so is necessary to deliver the requested feature.
- AI training-data licence — consent only. If you have toggled AI training data ON in your profile, the licence above extends to using the input + output of your AI interactions to improve our models (in pseudonymised form). If you have not consented, or you withdraw consent, the AI processing licence is restricted to delivering the immediate request and we will not retain training records. The control is Profile → AI training data.
9. Limitation of Liability
- The Company operates a platform connecting Customers and Crew.
- We are not liable for the quality of work performed by independent contractors.
- Our total aggregate liability to you is limited to the fees paid by you in the preceding 12 months.
- We are not responsible for property damage caused by Crew (Crew warrant their own liability insurance per §6).
10. Account Termination
- You may delete your account at any time from your Profile page; see the data-deletion guide at
/legal/data-deletionfor what gets deleted and what is retained. - We may suspend or terminate accounts that violate these Terms.
- Upon deletion, your personal data is anonymised per our Privacy Policy.
- Financial records are retained for up to 10 years — minimum 6 years per Código de Comercio Art. 30, extended to 10 years for records supporting a base imponible negativa (loss carryforward) per Ley General Tributaria Art. 66 bis.
11. Governing Law
These Terms are governed by Spanish law. Disputes shall be resolved in the courts of Málaga, Spain. Consumers retain the right under Regulation (EU) No 1215/2012 to bring proceedings in their place of residence.
12. Changes to These Terms
We may update these Terms with 30 days' notice via email and in-app notification. Material changes (changes to pricing, payment terms, AI processing scope, or the operating company) require explicit re-acceptance. Continued use after the effective date constitutes acceptance of non-material changes.
